The development and advancement in the aviation industry has contributed tremendously to global transport and economy. Such particular industry demands adept expertise with hands-on experience as transactions in this industry are also very common yet complex.
Our Aviation Practice Group, composed of staff members with extensive experience in the sector, has successfully assisted and advised our past clients on numerous aircraft leasing and/or purchase transactions.
The services of our Aviation Practice Group Practice Group cover the following:
- Reviewing and advising on aircraft operating lease agreements (Wet and Dry Lease), and other related conditions precedent documents
- Issuing legal opinions for various airlines in order to come to a closing on the lease of commercial aircrafts
- Liaising with legal counsels of lessors/lessees and the local aviation authority
- Aircraft leasing/purchase agreement drafting and review
- Providing general legal advice on aviation transactions including aircraft registration/de-registration and licensing matters, and local laws and regulations applicable to the aviation sector
- Providing notarization and filing services of relevant documents with the competent authorities

Holding a Master of Environmental Law and two Bachelor’s Degrees in law and education, Mr. Phanna Sok has been practicing law in different institutions, including law firms, non-governmental organizations, and universities.

Before joining HBS LAW, Mr. Vareap has worked in the oil and gas unit of the government for the past 7 years. As the Head of office, he was responsible for the internal process of formulating laws and regulations to govern the petroleum activities of the country.

Mey Mey Hiek
Associate
Having obtained dual bachelor’s degrees in law and education, Mey Mey embarked upon her legal career as an associate within the corporate and commercial practice group of a regional law firm in Cambodia in 2018. Subsequently, in 2021, she pursued an LL.M. in International Human Rights Law at Lund University in Sweden.

- Assisted a Korean client, as lessee, on sub-leasing of three (3) aircrafts to Vietnamese and Lithuanian airlines, as sub-lessee, liaising with head lessor (Bermuda), involving the preparation, reviewing and execution of the sub-lease agreements (Dry Lease), the related conditions precedent documents, the issuance of legal opinions, filing documents with Cambodian authorities and notarization of the same in order to come to a closing on the lease of commercial aircrafts.
- Assisted a local client, as lessee, on leasing of aircrafts (Dry Lease) from an entity registered in Ireland, liaising with the local aviation authority, State Secretariat of Civil Aviation (“SSCA”) concerning the registration and de-registration process for the aircraft, preparing, reviewing and execution of the lease agreements, the related conditions precedent documents, the issuance of legal opinions, filing documents with Cambodian authorities and notarization of the same in order to come to a closing on the lease of commercial aircrafts.
- Assisted an entity registered in Ireland, as lessor, on leasing of three (3) aircrafts (two operating leases and one finance lease) to a Cambodian airline, as lessee, liaising with the local aviation authority, SSCA, concerning the registration and de-registration process for the aircraft, preparing, reviewing and execution of the lease agreements, the related conditions precedent documents, the issuance of legal opinions, filing documents with Cambodian authorities and notarization of the same in order to come to a closing on the lease of commercial aircrafts.
- Represented the SSCA in drafting and negotiating a Public-Private Partnership Contract entered with an entity from Switzerland-based company that will provide security services at international airports in Cambodia.
